
Works: The work to be carried out is defined in Item 8 of the Scope of Works (SOW).
Goods: Any goods to be supplied under this agreement are defined in Item 9 of the SOW.
Agency: The Client acknowledges that Goodbye Gas will act as agent for the Client to engage Contractors to provide goods and services required for the Works. Goodbye Gas’ powers as agent are limited to the terms of this Agreement and end when the Works or Goods are completed or by written mutual agreement. Goodbye Gas will act as directed by the Client when acting on its behalf.
Supply: Goodbye Gas will engage qualified Australian tradespeople to perform electrification, plumbing, air conditioning, solar, battery, and EV charging services as outlined in the SOW.
Project Management: Goodbye Gas will oversee the project, coordinate with Contractors, and ensure timely completion. Goodbye Gas acts as project manager in its own capacity, not as agent.
Access: The Client will provide necessary property access and any required permits.
Information: The Client will provide accurate information about the property’s electrical, plumbing, HVAC, solar, battery, and EV charging requirements.
Payment: The Client must make payments as outlined in the contract.
Qualifications: Goodbye Gas will select Contractors based on qualifications, experience, and compliance with relevant Australian standards: AS/NZS 3000 (electrical), AS/NZS 3500 (plumbing), AS/NZS 3600 (air conditioning), AS/NZS 5033 (solar), AS/NZS 5132 (battery), AS/NZS 60825 (EV charging).
Insurance: Goodbye Gas will procure that Contractors maintain general liability, workers’ compensation, and public liability insurance.
Timeline: An estimated project timeline will be provided, subject to unforeseen circumstances and regulatory compliance.
Delays: Goodbye Gas will make reasonable efforts to address delays within its control.
Rescheduling: Works or delivery may be rescheduled at no charge if the Client provides at least 2 weeks’ notice.
Payment Schedule: Goodbye Gas will provide a schedule of milestone payments.
Currency: All prices and payments are in Australian dollars.
Payment Method: Payment must be made in full by an approved method without deduction or set-off.
Late Payments: If payment is not made on time:
The entire outstanding amount becomes immediately due.
Goodbye Gas may suspend Works, require the return of Goods at the Client’s cost, and recover collection and legal costs.
Variation by Contractor: If a Contractor’s final invoice differs from their quote, Goodbye Gas may adjust the Client’s price accordingly.
Market Conditions: If the cost of Goods or services changes by more than 5% due to market conditions, the price will be adjusted.

Risk: Risk in Goods passes to the Client upon delivery.
Title: Title does not pass until payment in full is made.
Bailment: Until fully paid, the Client holds Goods as bailee.
Return of Goods: Goodbye Gas may require return of Goods and repossess them after reasonable notice.
Costs: The Client is responsible for all repossession costs.
The Client charges all interest in Goods supplied under the Agreement with their outstanding indebtedness. PPSA rights and obligations apply as outlined in the original text (preserved but not reformatted here).
Manufacturer warranties are passed on to the Client.
Contractors will provide workmanship warranties according to Australian consumer law.
Additional warranties apply for corporate clients, trustees, and partnerships.
Goodbye Gas is not liable for defects or negligence of Contractors engaged as the Client’s agent.
Liability for negligence or breach is limited to the contract price.
Goodbye Gas is not liable for issues caused by inaccurate information provided by the Client.
Consequential or incidental damages are excluded except where required by law.
The Client indemnifies Goodbye Gas for liabilities incurred through Contractor agreements executed on the Client’s behalf.
All Contractor work will comply with applicable Australian standards.
Certificates or documentation of compliance will be provided to the Client when required.
Goodbye Gas is a member of the Clean Energy Council.
A party must not start court proceedings without first following the dispute process.
A written Dispute Notice must specify the nature and basis of the dispute and include supporting information.
Each party must use best efforts to resolve the dispute within 28 days.
If unresolved, the parties may proceed to mediation or arbitration.
Costs of compliance are borne individually; mediator/arbitrator costs are shared.
Either party may commence litigation if mediation ends without resolution.
Non-compliance with this clause allows the other party to bypass it.
The Agreement is governed by the laws of Victoria, Australia.
Goodbye Gas is not liable for delays or non-performance caused by events beyond its control.
Goodbye Gas may terminate the Agreement if a Force Majeure event persists after 30 days’ written notice.
Any change to this Agreement must be in writing and signed by both parties.
Either party may terminate before the 5-day cooling off period.
Within 72 hours of deposit payment, either party may terminate for any reason and receive a full refund.
After 72 hours, a 20% cancellation fee applies.
Goodbye Gas partners with Community First Bank to offer financing.
The Client may be contacted by the bank with their consent.
Goodbye Gas will attempt installation without cutting the benchtop.
If cutting is required, additional costs of approximately $500–$1000 apply.
A courtesy induction cooktop may be provided if the full-size unit cannot be installed immediately.
The TPR valve and condensation drain will be connected to the nearest legal discharge point unless specified otherwise.
Any changes will be reflected in the quotation.
Goodbye Gas will minimise wall cutting.
If patching is required, costs may apply.
Painting is not included, and existing damage is not the responsibility of Goodbye Gas.
Quotations are not offers.
Placement of an order constitutes acceptance of these Terms and Conditions.
A contract is formed when Goodbye Gas accepts in writing, performs the Works, or issues an invoice.
This Agreement and any connected SOW constitute the entire agreement between the parties.
No prior negotiations or representations have effect.
Oral explanations do not alter the interpretation of this Agreement.
